These Terms and Conditions set out the rules for using the website www.itgs.ie and for engaging IT Green Solutions Limited for IT services, unless a separate written agreement, statement of work, proposal, or service contract applies.
By using our website, requesting a quote, accepting a proposal, or using our services, you agree to these Terms and Conditions. If you do not agree with these Terms, you should not use our website or services.
1. Who we are

2. Scope of these Terms
These Terms apply to the use of our website and to general business enquiries, quotations, proposals, and services supplied by us. They may cover managed IT services, Microsoft 365 support, SharePoint services, Entra ID administration, Intune device management, cybersecurity services, cloud services, backup support, device support, consultancy, website services, and related IT support.
If a separate signed agreement, proposal, statement of work, service level agreement, data processing agreement, or order form applies to a specific service, that document will take priority where there is a conflict.
3. Website use
You may use our website for lawful business and informational purposes only. You must not use our website in a way that could damage, disable, overload, compromise, or impair the website or interfere with another person’s use of it.

upload or transmit viruses, malware, scripts, or harmful code;
copy, scrape, reproduce, or misuse website content without permission;

4. Services and proposals
Descriptions of services on our website are provided for general information. The exact scope, deliverables, fees, timelines, and responsibilities for a service will be confirmed in a written proposal, quotation, order form, statement of work, or service agreement.
Unless expressly stated otherwise, a quotation or proposal is valid only for the period stated in that document. If no validity period is stated, we may withdraw or revise it at any time before acceptance.
5. Customer responsibilities
Customers are responsible for providing accurate information, timely access, cooperation, and decisions needed for us to deliver services. This may include access to systems, admin portals, licences, devices, networks, hosting accounts, domains, DNS settings, backup systems, security tools, and relevant third-party platforms.
Customers must ensure they have the right to authorise us to access, configure, support, or modify any system, account, device, data, or third-party service used in connection with the work.
6. Access, credentials, and security
Where access credentials or administrator permissions are required, customers must provide them securely and only to authorised IT Green Solutions personnel. We may recommend the use of named accounts, multi-factor authentication, least-privilege access, audit logging, and other security controls.
Customers remain responsible for their own internal user management, device use, employee conduct, approval of changes, and business decisions unless expressly agreed otherwise in writing.
7. Third-party products and services
Many IT services rely on third-party products, platforms, licences, vendors, or infrastructure, including Microsoft, hosting providers, domain registrars, security vendors, backup providers, hardware vendors, and software suppliers.
Third-party services may be subject to the third party’s own terms, privacy notices, availability commitments, licence restrictions, pricing changes, support policies, and service limitations. We are not responsible for failures, outages, price changes, or restrictions caused by third-party providers, except where required by law.
8. Fees, invoices, and payment
Fees will be set out in the applicable quotation, proposal, contract, or invoice. Unless otherwise agreed in writing, all fees are payable in euro.
Invoices must be paid by the due date stated on the invoice. If no due date is stated, payment is due within 14 days of the invoice date.
Late payment may result in suspension of services, withdrawal of credit terms, recovery of reasonable collection costs, or interest where permitted by law. Any disputed invoice should be raised promptly and in good faith.
9. Changes, delays, and out-of-scope work
If the customer requests work that is outside the agreed scope, or if additional work is required due to inaccurate information, unavailable access, legacy issues, third-party limitations, security incidents, or customer delays, additional fees may apply.
We will try to notify the customer where work appears to be outside scope. However, urgent support, incident response, emergency remediation, or business-critical work may need to proceed quickly where authorised by the customer.
10. Service availability and support
We will use reasonable skill and care when providing services. However, unless a specific service level agreement applies, we do not guarantee that services, websites, systems, third-party platforms, internet connectivity, email, cloud services, or support response times will be uninterrupted, error-free, or available at all times.
Support availability, response times, escalation routes, and included support hours will depend on the service package or agreement in place.
11. Backups, data, and business continuity
Customers are responsible for maintaining appropriate backups, retention policies, business continuity plans, and recovery procedures unless we have expressly agreed in writing to provide those services.
Where we provide backup or recovery services, the scope, retention, exclusions, testing, and recovery expectations should be agreed in writing. No backup system can guarantee recovery in every circumstance, particularly where deletion, corruption, ransomware, third-party failure, or retention expiry has occurred.
12. Cybersecurity
Cybersecurity services reduce risk but cannot eliminate all risk. Threats change continuously and no provider can guarantee that a system will never be compromised.
Customers are responsible for maintaining good security practices, including strong passwords, multi-factor authentication, staff awareness, timely patching, appropriate access controls, device management, and prompt reporting of suspicious activity.
13. Confidentiality
Each party must keep confidential information received from the other party confidential and must not disclose it except where required to deliver the services, comply with law, obtain professional advice, or as otherwise authorised.
This obligation does not apply to information that is already public, independently developed, lawfully received from another source, or required to be disclosed by law.
14. Data protection
We process personal data in accordance with our Privacy Policy, available at https://www.itgs.ie/privacy-policy/.
Where we process personal data on behalf of a customer as a processor, additional data processing terms may be required. Customers are responsible for ensuring that they have a lawful basis for any personal data they ask us to process or access as part of the services.
15. Intellectual property
All content on our website, including text, graphics, logos, layouts, documents, and service descriptions, is owned by or licensed to IT Green Solutions Limited unless stated otherwise.
For customer projects, ownership of deliverables will be as stated in the relevant proposal, contract, or statement of work. Unless otherwise agreed in writing, we retain ownership of our pre-existing materials, templates, know-how, tools, processes, scripts, documentation structures, and reusable methods.
16. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
Subject to the above, we are not liable for indirect, consequential, incidental, punitive, or special losses, or for loss of profit, revenue, business opportunity, goodwill, data, contracts, or anticipated savings, except where such limitation is not permitted by law.
Our total liability for any claim will be limited to the amount paid by the customer for the relevant service giving rise to the claim during the three months before the event giving rise to the claim, unless a different limit is agreed in writing or a different rule applies by law.
17. Consumer rights
These Terms are mainly intended for business customers. If you are a consumer, nothing in these Terms affects your statutory rights under applicable consumer law. Terms that are unlawful or unfair under applicable law will not apply to you.
18. Suspension and termination
We may suspend or terminate services where invoices remain unpaid, required access is unavailable, the customer breaches these Terms, there is a security risk, a third-party provider suspends service, or continuing service would create legal, security, or operational risk.
Either party may terminate services in accordance with the relevant contract, proposal, or service agreement. Termination does not affect payment obligations already incurred.
19. Changes to these Terms
We may update these Terms from time to time. The latest version will be available at https://www.itgs.ie/terms-and-conditions/. Continued use of our website or services after changes are published means you accept the updated Terms, unless a separate signed agreement states otherwise.
20. Governing law
These Terms are governed by the laws of Ireland. The courts of Ireland will have jurisdiction, except where applicable law gives you the right to bring a claim in another jurisdiction.
