These Terms & Conditions govern the delivery of IT services by IT Green Solutions ("the Provider") to its clients ("the Client"). By engaging our services, the Client agrees to these terms.
1. Scope of Services
- Managed IT support and helpdesk
- Microsoft 365 and cloud administration
- Cybersecurity and endpoint management
- Backup and disaster recovery
- Network infrastructure support
- IT consultancy and project delivery
2. Service Availability
Support is provided during agreed business hours unless otherwise stated in a separate SLA. Response and resolution times depend on the priority level of the incident.
3. Client Responsibilities
- Maintain valid software licensing
- Provide access to systems and environments when required
- Ensure users follow security best practices
- Nominate authorised contacts for support requests
- Notify us of infrastructure or staffing changes
4. Cybersecurity & Compliance
IT Green Solutions implements industry best practices aligned with GDPR, Microsoft security standards, and recognised cybersecurity frameworks. However, no system can be guaranteed to be completely secure. Security is a shared responsibility.
5. Data Protection & GDPR
Both parties agree to comply with the General Data Protection Regulation (EU) 2016/679. The Client acts as the Data Controller and IT Green Solutions acts as the Data Processor.
6. Third-Party Services
Many IT services depend on third-party providers including Microsoft, internet service providers, hosting companies, hardware vendors, and software providers.
IT Green Solutions cannot be held liable for delays, outages, data loss, or performance issues caused by third-party services.
Where required, we will liaise with third-party vendors on behalf of the Client, but resolution times remain subject to those providers.
7. Microsoft 365 & Cloud Services
We configure and manage cloud platforms on behalf of the Client. Licensing, platform availability, and service continuity remain the responsibility of the software vendor.
8. Backup & Disaster Recovery
Backup scope and retention are defined in the service agreement. The Client remains responsible for confirming business continuity requirements.
9. Fees & Payment Terms
- Invoices are payable within 14 days unless otherwise agreed
- All prices are exclusive of VAT
- Services may be suspended for overdue accounts
10. Limitation of Liability
To the maximum extent permitted under Irish law, IT Green Solutions shall not be liable for:
- Indirect or consequential loss
- Loss of profit, revenue, or business
- Cyber incidents outside our reasonable control
- Failure of third-party platforms or infrastructure
Total liability is limited to the value of services supplied in the preceding 12 months.
11. Confidentiality
Both parties agree to keep confidential all business, technical, and security information.
12. Termination
Either party may terminate the agreement with written notice. Immediate termination may occur in cases of non-payment, security risk, or breach of these terms.
13. Force Majeure
Neither party shall be liable for failure to perform due to events beyond reasonable control.
14. Governing Law
These Terms & Conditions are governed by the laws of Ireland.
